Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Happy Endings Realty website and the Key Ring System marketing service (together, the "Services"). By using the site or signing up for a plan, you agree to these Terms. If you do not agree, please do not use the Services.

Who we are

The Services are provided by Happy Endings Realty, based in Fayetteville, North Carolina. You can reach us at stacey.happyendings@gmail.com or (910) 758-3899.

The Key Ring System

The Key Ring System is a local marketing service. We design and assemble promotional cards onto a laminated keyring and distribute them to homeowners, and we may feature your business on our property listings. The number of cards, territory, and distribution depend on the plan you select. We provide the service on a reasonable-efforts basis and may adjust how the program operates over time.

Eligibility

You must be at least 18 years old and authorized to enter into agreements on behalf of the business you represent. You agree that the information you provide to us is accurate and that you have the right to use any logos, offers, and content you submit for your card.

Plans, billing, and cancellation

  • Subscriptions. Plans are billed monthly and include a 4 month minimum commitment, then continue until cancelled. Pricing for each plan is shown on our website and may change with notice for future cycles.
  • Distribution cycles. Card artwork and approvals are due by the 1st or 15th of the month for inclusion in the next distribution cycle. A new ring requires a minimum number of participating businesses to launch.
  • Cancellation. After the 4 month minimum commitment, you may change or cancel your plan between cycles. Cancellation takes effect for the next cycle, and amounts already invoiced for a current cycle are not automatically refunded except as described in any performance promise we offer.
  • Performance promise. Where a specific performance promise is offered with your plan, it applies on the terms stated at the time you sign up.

Your content and category exclusivity

You keep ownership of the logos, text, offers, and other materials you provide ("Your Content"). You grant us a license to use, reproduce, and display Your Content as needed to design your card, distribute it, and feature your business as part of the Services. You are responsible for making sure Your Content is accurate, lawful, and does not infringe anyone's rights. We offer one business per category per ring; exclusivity applies to the specific ring and cycle as described when you join.

Acceptable use

You agree not to use the Services to submit content that is false, misleading, unlawful, or infringing, and not to interfere with the operation or security of the website. We may decline or remove content, or suspend the Services, if we reasonably believe these Terms have been violated.

Intellectual property

The website, the Key Ring System brand, and our original materials are owned by Happy Endings Realty and protected by applicable laws. Except for Your Content, nothing in these Terms transfers any of our intellectual property to you.

Property listings and third-party tools

Property search and listings shown on the site are provided through a third-party tool and may be subject to that provider's terms. Listing information is believed to be reliable but is not guaranteed and should be independently verified.

Disclaimers

The Services are provided "as is" and "as available." We do not guarantee any specific level of leads, sales, or results beyond any performance promise expressly offered with your plan. To the fullest extent permitted by law, we disclaim all warranties not expressly stated in these Terms.

Limitation of liability

To the fullest extent permitted by law, Happy Endings Realty will not be liable for indirect, incidental, special, or consequential damages arising from your use of the Services. Our total liability for any claim relating to the Services will not exceed the amount you paid us for the Services in the three months before the claim arose.

Indemnification

You agree to indemnify and hold harmless Happy Endings Realty from claims, losses, and expenses arising out of Your Content or your misuse of the Services.

Governing law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. Any disputes will be handled in the state or federal courts located in North Carolina.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Continued use of the Services after changes take effect means you accept the updated Terms.
